  • Preparing memoranda or settlement proposals, depending on the service
  • Representation and follow-up within the scope of the engagement

The scope of work and required documents are determined after reviewing the matter and agreeing on the engagement.

When is amicable settlement a suitable option for a business?

Amicable settlement suits a business when it wants to end the dispute while preserving the business relationship, when the cost and duration of litigation are disproportionate to the value of the dispute, or when a practical solution, such as rescheduling the debt or replacing the goods, is available. Choosing negotiation does not mean giving up one's right, but rather knowing the available alternative before sitting at the table. The work usually begins by assessing the strength of the business's legal position, because negotiating from a well-documented position differs from negotiating without sufficient evidence.

Settlement, mediation, and arbitration routes

There are several legal ways to resolve a dispute outside the courtroom, and the Civil Transactions Law regulates the provisions of the settlement contract and its effects:

  • Direct negotiation and documenting its outcome in a settlement agreement
  • Settlement via the Taradhi Platform under the Reconciliation Center at the Ministry of Justice
  • Mediation or arbitration before the Saudi Center for Commercial Arbitration where the parties agree
  • Labor Settlement via the Wadi Platform in Disputes between a Business and Its Employees

How negotiations are conducted and the settlement is drafted

  • Analyzing the business's position, its evidence, and potential weaknesses
  • Setting the minimum acceptable outcome and alternatives if negotiation stalls
  • Preparing a written settlement proposal and carefully drafted correspondence
  • Attending negotiation or settlement sessions on behalf of the business
  • Drafting the settlement agreement with clear payment terms and a defined effect upon breach

If settlement fails

Before negotiation begins, it is useful for the business to prepare the contract and its annexes, the approved account statement, the exchanged correspondence, and a clear authorization specifying who has the authority to accept an offer and its limits. The absence of the authorized person from the meeting may delay the agreement or reopen the door to renegotiation.

The judicial path remains available through the Commercial Disputes service, provided that negotiations do not consume the statutory time limits for hearing the lawsuit. As for labor disputes, the article Amicable Labor Settlement explains their stages and time limits.

Frequently asked questions

Is a settlement document issued by the Taradhi platform enforceable?

Yes, the Ministry of Justice has clarified that settlement documents issued through the Taradhi platform are enforcement instruments that can be enforced through the enforcement judiciary. Care should therefore be taken in drafting the settlement terms, such as the amount, payment dates, and the consequences of delay, since the clarity of these terms facilitates enforcement if either party breaches its obligation.

What is the difference between mediation and arbitration in commercial disputes?

Mediation is a negotiation run by a neutral party who helps the two sides reach an agreement, without imposing a solution on them. Arbitration, on the other hand, is a private form of adjudication agreed upon by both parties in writing, in which the arbitral tribunal issues a binding award that is enforced after completing the legal procedures. The path is chosen according to the nature of the dispute and the parties' wish to preserve the relationship.

Can Negotiation Correspondence Be Relied On if Settlement Fails?

Correspondence exchanged during negotiation may be submitted as evidence in the case, especially if it contains an acknowledgment of a debt or a particular fact. Settlement offers are therefore drafted carefully, and their content is reviewed before sending so they do not contain an unintended admission that weakens the company's position if the dispute moves to court.
