The office's role in notarizing contracts and powers of attorney

Notarizing a contract, power of attorney, or acknowledgment is done officially before a notary public, through the Najiz platform, or before notaries licensed by the Ministry of Justice, depending on the type of document. The office's role comes before and during notarization: drafting and reviewing the wording, verifying the parties' details, determining the appropriate procedure, and then guiding the process through to issuance of the document. Among the most commonly requested services are:

  • Notarizing a sale, partnership, or loan contract between individuals
  • An acknowledgment of debt or of receiving an amount
  • Electronic power of attorney for a lawyer, a relative, or a specific transaction
  • Revoking a previous power of attorney or verifying one presented to you

Why Does Contract Notarization Matter?

A notarized contract carries stronger evidentiary weight than an ordinary document, and the Enforcement Law treats notarized contracts and instruments as enforcement instruments. If a notarized contract includes a specific financial obligation that is due for immediate performance, its enforcement may be requested without a prior lawsuit. However, notarization does not cure an ambiguous or incomplete clause, so the drafting should be reviewed before notarization, not after, and the Contract Review Checklist is useful for this.

The electronic power of attorney via Najiz

The Ministry of Justice allows the electronic power of attorney to be issued via Najiz after logging in through National Single Sign-On (Nafath), specifying the parties, the terms, and the duration. A common mistake is choosing broader authority than needed, especially financial authority such as receiving, discharging, and selling. You can find the steps in the article Electronic Power of Attorney via Najiz. The office helps with:

  • Specifying the purpose of the power of attorney and only the authorities necessary for it
  • Choosing a suitable term instead of an unnecessary open-ended one
  • Reviewing the text after issuance and verifying the accuracy of the information

What Should You Prepare Before Requesting Notarization?

The identities and information of the parties, the draft contract or acknowledgment if any, the documents related to the subject matter, such as the real estate title deed or the commercial registration, and specification of the powers required in the power of attorney. Having this information complete from the outset reduces the likelihood of the request being rejected or returned.

Frequently asked questions

Who Officially Notarizes the Contract or Power of Attorney?

Official notarization is carried out at a notary public office, through the Najiz platform, or by a notary licensed by the Ministry of Justice, depending on the type of document and the status of its parties. Within this service, the office handles drafting and reviewing the wording, determining the appropriate procedure, and guiding through its steps, so that the document reaches the notarization authority complete and clear.

Does the electronic power of attorney require an in-person visit to the notary public?

In most cases, the power of attorney is issued electronically through Najiz without attendance, but in some cases, depending on the type of identity document or the parties' circumstances, completing the issuance through virtual notarization may be required. The Ministry of Justice also provides two electronic services to verify and revoke a power of attorney, and it is advisable to use them before relying on any older power of attorney.

What is the difference between a notarized contract and an ordinary contract?

An ordinary contract binds its parties once validly formed, but proving it in a dispute may require a lawsuit and evidence. A notarized contract, however, is issued by a competent notarization authority after verifying the parties’ identity and acknowledgment, and it is treated as an enforcement instrument as to any right of a specific amount due for immediate performance, so its enforcement may be requested directly if payment is not made.
