What is a legal subscription for a business?
A legal subscription is a contractual arrangement that allows a business to consult a corporate legal advisor on a regular basis for the term of the agreement, instead of contracting separately for each matter as under Corporate Legal Consulting. It suits businesses that regularly generate contracts, correspondence, and labor decisions but whose size does not justify a dedicated in-house legal department, as well as businesses that have an in-house advisor but need external support on specific matters.
What does a subscription usually include?
The scope of the subscription is set out in a written agreement after studying the business's needs, and, depending on the agreement, may include:
- Legal consultation, written or oral, on everyday matters
- Reviewing contracts and agreements before signing as part of the Contract Drafting & Review service
- An opinion on HR decisions and disciplinary procedures
- Drafting notices and responding to incoming claims
- Following up on legal developments relevant to the company's activity
- Periodic reports on completed and open matters
What is agreed under a separate engagement?
A subscription does not mean every service is automatically included. Litigation, enforcement requests, extensive internal investigations, and incorporation or restructuring projects are usually defined under a separate engagement setting out its scope and fees. This separation helps financial management plan ahead and avoids confusion about what the subscription covers and what it does not. When judicial representation is needed, this is coordinated with the Representation before Judicial & Administrative Bodies service.
How Is Work Organized During the Subscription Period?
The relationship begins with a meeting to understand the business's activity, structure, and pending matters, along with a conflict-of-interest check. The agreement then specifies who at the business may request advice, the channel for sending requests, the expected response time based on the type of matter, and how documents are kept and their confidentiality. When a procedure before an official body is required, the business issues an electronic power of attorney through Najiz with the necessary authorities. The office serves businesses in person in Riyadh and Jazan, and remotely in the rest of the Kingdom's regions.
Frequently asked questions
What Is the Difference Between a Legal Subscription and a One-Off Legal Consultation Request?
A single consultation is requested for a specific matter and ends once the opinion on it is delivered, while a subscription covers a period of time and allows the business to present its recurring matters within an agreed scope. A subscription gives the advisor cumulative knowledge of the business’s contracts and policies, making the opinion closer to its actual situation, whereas a single consultation suits an occasional need.
How Are a Business's Legal Subscription Fees Determined?
Fees are set after assessing the business's needs, with factors including the scale of activity, the expected number of matters, the type of services included, the subscription term, and whether it includes attending meetings or periodic reports. The fees, the scope of service, and what falls outside it are recorded in a written agreement before work begins.
Can the scope of the subscription be amended during its term?
That is possible by agreement of both parties, such as when the company expands into a new activity, its labor decisions increase, or it needs to follow up a particular file. The amendment is documented in writing, showing the added services and their effect on fees and duration, so the picture remains clear to management and the office throughout the contract period.
